Terms of Service

Ulties is a Danish sole proprietorship (enkeltmandsvirksomhed), represented by Mark Topper Diderichsen. Our public business identifiers are CVR 37187569, VAT ID DK37187569 and DUNS 305672080.

Our business address is Farum Hovedgade 2B, st. 3, 3520 Farum, Denmark. When we say "we" or "us", we mean Ulties. When we say "you", we mean the person or organisation using the site, platform, or services.

A paid engagement starts when both parties accept a written proposal, order, or Statement of Work (SOW). That document controls the scope, deliverables, milestones, fees, ownership, acceptance criteria, support, and any project-specific terms. The website is descriptive and is not itself an offer to enter an engagement.

Conversations, briefs, estimates, and proposals exchanged before an engagement are planning material. They are not binding beyond any confidentiality obligations or other terms expressly agreed in writing.

Customers may use a self-owned Ulties platform to coordinate project delivery and collaboration. You are responsible for the accuracy, legality, and permissions relating to information, files, and other content you place in the platform.

Do not use the site or platform to break the law, infringe another person's rights, upload malicious code, attempt unauthorised access, or disrupt other users. We may suspend access where reasonably necessary to protect the service, users, or our systems.

Fees and payment dates are set out in the applicable written engagement. Danish VAT is added or handled according to applicable Danish and EU VAT rules. You are responsible for providing accurate billing information and paying undisputed invoices on time.

We use infrastructure and service providers, including Cloudflare, to host, deliver, secure, and operate our sites and platform. Customer-selected integrations and third-party services may have their own terms, fees, and privacy policies.

Site content, copy, design, and illustrations are owned by Ulties or used with permission unless otherwise marked. Open-source code published by Ulties is governed by the licence attached to its repository or package. Work produced for a client is transferred or licensed only as stated in the applicable SOW.

Each party must protect the other party's confidential information and use it only for the agreed engagement. This does not apply to information that is public, independently developed, already known without a duty of confidence, or required to be disclosed by law.

Support, maintenance, hosting, service levels, and response times apply only when included in the applicable written engagement. We aim to keep the website and platform reliable, but we do not promise uninterrupted availability, error-free operation, or that every feature will remain unchanged.

To the extent permitted by applicable law, the website and platform are provided on an "as available" basis. Nothing in these terms excludes or limits liability that cannot legally be excluded or limited under Danish law.

For paid engagements, liability, remedies, and any agreed limits are governed by the applicable SOW. Unless mandatory law requires otherwise, neither party is liable for indirect or consequential loss, loss of profit, or loss of business opportunity arising outside the limits of the agreed engagement.

These terms are governed by Danish law. Disputes will be handled by the Danish courts, subject to any mandatory rights or rules that apply to you or your organisation.

We may update these terms when our services, platform, or legal obligations change. Material changes will be published on this page and dated above. The version in force when an engagement is agreed continues to govern that engagement unless the parties agree otherwise.
